Inin Group AS: Acquisition of Be-Ma AS completed

22 September 2023 – Reference is made to the stock exchange announcement dated
14 September regarding Inin Group AS’ subsidiary Nordic Infrastructure Group’s
planned acquisition of 100 percent of the shares in Be-Ma AS. The acquisition
has today been successfully completed.
Be-Ma AS is a niche contractor that delivers specialised fibre optics services
plus groundwork, concrete casting, isolation and cabling related to build-out of
charging stations for electric vehicles. The company also provides groundwork
services for distribution pillars and foundations.
Nordic Infrastructure Group has acquired 100 percent of the shares in Be-Ma AS,
which is valued at 5 x guaranteed EBIT for 2023 in the transaction. Be-Ma
expects to deliver EBIT of NOK 5 million in 2023.
The total consideration consists of 70 percent in shares in in Nordic
Infrastructure Group, which is valued at NOK 330 million in the transaction, and
approximately 30 percent in cash. The share-based part of the consideration has
been settled today, while the cash-based consideration is expected to be settled
partly in the fourth quarter of 2023 and partly in the second quarter of 2024.
