Hawk Infinity Software AS – Successful placement of new senior secured bonds issue

Hawk Infinity Software AS (the “Company”) has today successfully completed the
issuance of new NOK 750 million senior secured bonds with 5-year tenor. Net
proceeds from the bond issue will be used to refinance the Company’s existing
senior secured bond with maturity in May 2025 (ISIN NO0010998586 and temp. ISIN
NO0012899378)(“JOGR01”), for the acquisition of Cars Software AS and for general
corporate purposes.

In connection with the placement of the new senior secured bonds, the Company
will exercise the call option for early redemption of JOGR01 at 103.39 per cent
of par value, plus accrued interest.

ABG Sundal Collier, DNB Markets and Nordea acted as Joint Lead Managers for the
transactions. An application will be made for the bonds to be listed on
Frankfurt Open Market and Oslo Børs.
