Hawk Infinity Software: Acquisition of Marketplace completed

Hawk Infinity Software AS has on April 28th, 2023 completed the acquisition of
51% of the shares in Marketplace AS and Byggstart AS (together “Marketplace”),
for a cash consideration of NOK 67.3m. The cash consideration is based on an
agreed upfront enterprise value (on a 100% basis) of NOK 122m.

Based in Oslo, Norway, Marketplace operates a portfolio of leading B2B2C PaaS
tender platforms across several niches in Norway and Sweden. Marketplace had
revenues of NOK 23.2m and pro forma EBITDA of NOK 11.9m in 2022.
